Summary

These Terms of Service govern your use of DataIQ, an enterprise integration middleware developed and operated by Cimpleit, Inc. DataIQ connects LicenseIQ to Oracle Cloud ERP systems and EDI trading partners, exposing data operations via the Model Context Protocol (MCP).

DataIQ is licensed software for enterprise use. Access is granted through a subscription agreement with Cimpleit. By accessing or using DataIQ, you agree to these terms. If you do not agree, do not use the service.

Section 01

Who We Are

DataIQ is a product of Cimpleit, Inc. ("Cimpleit," "we," "us," or "our"), a United States-based software company headquartered in Frisco, Texas. DataIQ is an integration middleware layer that connects LicenseIQ — Cimpleit's contract-to-cash execution platform — to Oracle Cloud ERP systems and X12 EDI trading partners.

DataIQ is not a consumer product. It is licensed enterprise software, available exclusively to organizations that have a current subscription agreement with Cimpleit. References to "you" or "your" in these Terms refer to the subscribing organization and its authorized users.

Section 02

Acceptable Use

DataIQ is provided for use as an enterprise integration middleware to connect your LicenseIQ environment to Oracle Cloud ERP and EDI systems. Permitted uses include:

  • Fetching financial transaction data (AR/AP invoices, payments, purchase orders, journal entries) from your Oracle Cloud ERP instance via MCP tool calls
  • Posting accounting records (GL journal entries, AR invoices, AP invoices) to your Oracle Cloud ERP instance, subject to your Oracle licensing and configuration
  • Transmitting EDI documents (844, 849, 852, 856, 997, 820) to and from your authorized EDI trading partners
  • Deriving Chart of Account segments using the configured rules engine
  • Resolving master data (customers, items, suppliers) from your Oracle system
  • Any other use explicitly authorized in your subscription agreement with Cimpleit

DataIQ is not designed or licensed for consumer use, public API access, or as a general-purpose Oracle integration layer. Use is limited to the specific enterprise workflows described in your subscription agreement.

Section 03

Access and Accounts

3.1 Authorization

Access to DataIQ is controlled at the deployment and network level by your organization. You are responsible for ensuring that only authorized users and systems within your organization access the DataIQ instance deployed for your account.

3.2 Client Identifiers

Each DataIQ deployment uses client identifiers (client_id) to scope all data operations to a specific Oracle ERP account. You are responsible for maintaining the confidentiality of your client identifiers and for all activity that occurs under them.

3.3 No Shared Credentials

You must not share your DataIQ instance URL, client identifiers, or access credentials with any third party not covered by your subscription agreement, including other Cimpleit customers.

3.4 Anthropic MCP Directory Reviewers

If you are an Anthropic employee or authorized reviewer accessing DataIQ under the anthropic-review client identifier for the purpose of evaluating this MCP server for directory listing, your use is authorized and limited to that review purpose. The review client targets a sandboxed data set and does not affect any production financial data.

Section 04

MCP Interface

DataIQ exposes its capabilities through the Model Context Protocol (MCP) via a Streamable HTTP endpoint at /mcp. The following terms apply to use of the MCP interface:

  • Tool calls are explicit. DataIQ responds only to explicit MCP tool calls. It does not autonomously initiate data transfers, poll external systems on behalf of the caller, or perform any background actions.
  • Write operations are idempotent. All write-back tool calls (GL journal posting, invoice creation) use an idempotency_key parameter to guarantee at-most-once submission to Oracle. Duplicate calls with the same key return the cached Oracle response without re-posting.
  • Financial records, not financial transactions. DataIQ writes accounting records to Oracle ERP ledgers. It does not initiate, authorize, or execute monetary transfers of any kind. No funds move as a result of any DataIQ tool call.
  • Rate limits. Excessive use of the MCP interface that degrades service for other users or that places unreasonable load on connected Oracle ERP systems may result in rate limiting or suspension of access at Cimpleit's discretion.
Section 05

Data and Ownership

5.1 Your Data Belongs to You

All financial, transactional, and master data that flows through DataIQ — including data fetched from Oracle ERP, data written back to Oracle, and EDI documents transmitted on your behalf — belongs to you. Cimpleit processes this data solely to provide the DataIQ service to you.

5.2 DataIQ Transaction Cache

DataIQ maintains a PostgreSQL-based transaction cache of Oracle ERP data fetched during sync operations. This cache is used exclusively to serve MCP tool calls efficiently. Cached data is scoped by client_id and is never shared between clients. You may request deletion of your cached data at any time by contacting info@cimpleit.com.

5.3 No Data Resale

Cimpleit does not sell, rent, license, or otherwise transfer your data to third parties for any purpose other than operating the DataIQ service under your subscription agreement.

5.4 Oracle Data

Data fetched from or written to your Oracle Cloud ERP instance is governed by your Oracle Cloud subscription agreement. DataIQ acts as an authorized integration client on your behalf. You are responsible for ensuring that your Oracle subscription permits the API access patterns used by DataIQ.

Section 06

No Warranty

DataIQ is provided "as is" and "as available." To the maximum extent permitted by applicable law, Cimpleit makes no warranties — express, implied, statutory, or otherwise — with respect to DataIQ, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that DataIQ will be uninterrupted, error-free, or free of harmful components
  • Warranties regarding the accuracy, completeness, or timeliness of data fetched from Oracle Cloud ERP via DataIQ
  • Warranties that DataIQ will meet your specific business requirements

DataIQ moves and transforms data. It does not perform financial calculations or guarantee the correctness of Oracle ERP data. Always verify financial outputs in your Oracle ERP system before using them for financial reporting, audit, or settlement purposes.

Section 07

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Cimpleit, Inc., its officers, directors, employees, or agents be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business, or goodwill
  • Damages arising from unauthorized access to your Oracle ERP system through the DataIQ integration layer
  • Damages arising from incorrect data returned by Oracle ERP APIs
  • Damages arising from service interruptions, network failures, or Oracle Cloud outages

In any case, Cimpleit's total liability to you for any claims arising from or related to these Terms or your use of DataIQ shall not exceed the subscription fees paid by you to Cimpleit in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In those jurisdictions, the limitations above apply to the fullest extent permitted by law.

Section 08

Prohibited Activities

You agree not to use DataIQ to:

  • Access Oracle ERP systems or EDI partner systems for which you do not have authorization
  • Post fraudulent, fabricated, or unauthorized financial records to Oracle ERP
  • Circumvent any Oracle ERP access controls, audit trails, or security mechanisms
  • Probe, scan, or test the security of DataIQ or connected systems beyond what is necessary for your authorized integration use
  • Transmit EDI documents to trading partners without a valid and current trading agreement with those partners
  • Reverse engineer, decompile, or attempt to extract source code from DataIQ
  • Resell, sublicense, or otherwise make DataIQ available to third parties not covered by your subscription agreement
  • Use DataIQ in any way that violates applicable laws, regulations, or your Oracle Cloud subscription terms

Violation of these prohibitions may result in immediate suspension or termination of your DataIQ access and may give rise to legal liability.

Section 09

Termination

9.1 By Cimpleit

Cimpleit may suspend or terminate your access to DataIQ immediately and without prior notice if:

  • You breach any material provision of these Terms
  • Your subscription agreement with Cimpleit is terminated or expires
  • Continued access poses a security risk to DataIQ infrastructure or connected Oracle systems
  • Required by applicable law or regulatory order

9.2 By You

You may terminate your use of DataIQ by providing written notice to Cimpleit as specified in your subscription agreement. Termination does not entitle you to a refund of any prepaid subscription fees, except as expressly provided in your subscription agreement.

9.3 Effect of Termination

Upon termination, you must cease all use of DataIQ and destroy any locally cached outputs derived from the service. Cimpleit will handle your Customer Data in accordance with the Privacy Policy and your subscription agreement's data retention terms.

Section 10

Changes to These Terms

Cimpleit may update these Terms of Service from time to time. When we do:

  • We will post the updated Terms on this page with a revised effective date
  • For material changes, we will notify you by email to the address on file for your account at least 30 days before the change takes effect
  • Your continued use of DataIQ after the effective date of updated Terms constitutes acceptance of those Terms

If you object to any updated Terms, you must stop using DataIQ and notify Cimpleit in accordance with your subscription agreement's termination provisions.

Section 11

Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or your use of DataIQ shall be resolved in the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of those courts.

Nothing in these Terms limits Cimpleit's right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or address unauthorized use of DataIQ or misappropriation of Cimpleit's intellectual property.
